About Boundary Capital 

Historically, Boundary Capital Limited (BCL) has sourced, executed and managed deals on behalf of its investor base being Boundary Equity Holdings Limited, the directors of BCL and external high-net worth investors sourced by BCL.

In the future, Boundary Management Limited (BML), which is a new company, intends to source deals on behalf of the Company and, where suitable, external strategic investors. BML and/or its directors may co-invest in these deals. In any event BML and any other co-investors will invest on the same terms as Boundary Capital. BML together with this investor group, including the Company, will seek to have significant influence including board representation in the target companies

Boundary Capital plc will typically acquire, on an opportunistic basis, majority stakes in cash generative companies with established trading track records, and which are well-positioned in their respective markets. It is likely that Boundary Capital plc will invest in some property assets, including development land or income generating rental properties, through businesses Boundary Management Limited (BML) has established over the last number of years such as RQB Limited or businesses BML may establish in the future.

Boundary Capital plc will aim to build a balanced portfolio of investments with the intention that no one investment will represent more than 30% of the Company’s assets under management, other than on a short term bridging basis, and no single property investment will represent more than 20% of the total assets of the Company under management. It is Boundary Capital plc’s intention that property assets in aggregate will not represent more than 35% by value of its assets under management.

The planned holding period for investments is medium to long term. The medium term financial plans for each BML target to date has required that the target must return to the relevant investors (which would, in the future, include Boundary Capital) 100% of the initial investment plus an annual cash return of 10% within 5 years of the initial investment by way of a refinancing or a partial exit (IPO, merger, etc.) and to retain a residual interest thereafter.

Strong management is a key aspect of any investment which BML intends to recommend. BML will, where possible, work with the senior management of investee companies to develop those companies or recruit new executive directors and/or senior management with a view to achieving their strategic objectives. BML will recommend, as appropriate, that the existing executive directors and senior management of target companies invest in their companies on the same terms as the Investment Group.

Boundary Capital plc is quoted on both the AIM market of the London Stock Exchange where dealings are in Sterling and on the IEX market of the Irish Stock Exchange where dealings are in Euro. Boundary Capital plc was admitted to the AIM and IEX on May 15th 2007. The company is incorporated in Ireland which is also its main country of operation.
